Terms of Service

Article 1 (Application)

1. These Terms apply to all matters relating to the use of the Service.
2. Individual rules and guidelines we set separately form part of these Terms; in case of conflict, the individual rules prevail.

Article 2 (Registration)

1. Anyone wishing to use the Service must agree to these Terms and apply for registration in the manner we specify.
2. We may refuse registration if we determine the applicant falls under any of the following:
   • The application contains false information.
   • The applicant has violated these Terms in the past.
   • The applicant is or is associated with antisocial forces.
   • Any other case we deem inappropriate.

Article 3 (Fees)

1. Pricing is as follows:
   • Free tier: New users get the first 10 messages free.
   • Pay-as-you-go: Charged based on AI model token usage.
   • Subscription: Pro / Business plans grant a fixed monthly credit.
2. Prices are tax-inclusive and processed via Stripe.
3. Prices are displayed and charged in USD.

Article 4 (Agent Store / Creator Program)

1. Users may publish AI agents they create on the Agent Store ("listing").
2. When other users use a listed agent, 10% of the usage fee is credited to the lister as revenue.
3. Revenue becomes finalized 7 days after the use occurs and is then withdrawable.
4. The minimum payout is ¥1,000. Payouts are processed via Stripe Connect.
5. We may unpublish or delete agents that fall under any of the following without notice:
   • Infringe third-party intellectual property rights.
   • Are designed to generate illegal or harmful content.
   • Receive 3 or more reports.
   • Otherwise violate these Terms.

Article 5 (Prohibited Conduct)

Users may not engage in any of the following while using the Service:

1. Acts that violate laws or public order and morals.
2. Acts related to criminal activity.
3. Acts that infringe the rights of us, other users, or third parties.
4. Acts that destroy or interfere with the Service's servers or network functions.
5. Acts that interfere with the operation of the Service.
6. Unauthorized access or attempts thereof.
7. Collecting or storing personal information about other users.
8. Using the Service for fraudulent purposes.
9. Generating or distributing illegal, harmful, threatening, defamatory, discriminatory, violent, sexual, or otherwise inappropriate content via the Service.
10. Impersonating another user.
11. Advertising, promoting, soliciting, or doing business in a manner not authorized by us.
12. Any other act we deem inappropriate.

Article 6 (Suspension of Service)

1. We may suspend or interrupt all or part of the Service without prior notice in any of the following cases:
   • System maintenance or updates.
   • Earthquake, lightning, fire, power failure, or natural disaster making service difficult.
   • Computer or communication line failure.
   • A third-party service (Anthropic, Stripe, Supabase, Render, etc.) is down, making service difficult.
   • Other cases where we deem it difficult to provide the Service.

Article 7 (Copyright and Intellectual Property)

1. Copyright in text and data input via the Service belongs to the user.
2. Use of AI-generated outputs is at the user's own responsibility.
3. The Service itself, and the logos, designs, and software we provide, belong to us or the rightful owners. Users may not reproduce, modify, or distribute them without authorization.

Article 8 (Disclaimer)

1. We make no express or implied warranty that the Service is free from defects in fact or law (including safety, reliability, accuracy, completeness, validity, fitness for a particular purpose, security, errors, bugs, or rights infringement).
2. We do not guarantee the accuracy or legality of AI outputs. Users use them at their own risk.
3. We bear no responsibility for transactions, communications, or disputes between users or third parties arising from the Service.
4. Our liability for damages is capped at the amount the user paid us in the most recent 12 months (except in cases of our willful misconduct or gross negligence).

Article 9 (Changes to the Terms)

We may change these Terms at any time without notice if we deem it necessary. Changes take effect when posted on the Service.

Article 10 (Governing Law and Jurisdiction)

1. These Terms are governed by the laws of Japan.
2. Any disputes arising from the Service are subject to the exclusive jurisdiction of the Tokyo District Court.
